Mediaocean

Mediaocean is the largest independent ad-tech platform for omnichannel advertising, co-founded and led by CEO Bill Wise. Its Prisma software is the agency system of record for media planning, buying, and billing — processing $200B+ in annualized spend. Backed by CVC Capital Partners and TA Associates (Vista Equity exited 2021); acquired Flashtalking in 2021 and Innovid in 2025, both unified under the Innovid brand in March 2025.
Mediaocean sits at an unusual chokepoint in the ad economy: the back-office software that agencies actually run their businesses on. Its Prisma platform is the system of record for media planning, buying, and billing across most major holding-company agencies, which is why the company can credibly claim it touches more than $200 billion in annualized media spend even though it is not itself a buyer or seller of media. The Flashtalking and Innovid acquisitions push that footprint downstream into ad serving, creative, and CTV measurement — the layers where Google’s stack has historically been hardest to displace.
The ownership story matters for how to read the company’s strategic posture. Mediaocean has been private equity-owned since the 2015 Vista recap, with CVC and TA stepping in for Vista in 2021. That structure has funded an aggressive M&A program — Flashtalking in 2021 and Innovid in 2025 are the two largest moves — aimed at assembling an end-to-end independent alternative to the walled gardens for the agency-side ad operations stack.
